Section 14. Action Taken Without a Meeting

In accordance with Va. Code Ann. § 13.1-865, in the event of an emergency or unforeseen circumstances, the Board shall have the right to take any action in the absence of a meeting, which they could take at a meeting by obtaining the written consent of all the directors. Any action so approved shall have the same effect as though taken at a meeting of the Board. Any action taken in this manner shall be recorded in the minutes of the next meeting of the Board.
