Section 5. Removal

Any Director may be removed from the Board, with or without cause, by a majority vote of the Members of the Association at a meeting duly called for the purposes of removing a director, at which a quorum is present. The Members may elect a successor at the meeting who shall serve the remaining term of the removed director. A director whose removal has been proposed shall be given at least ten (10) days notice of the time, place and purpose of the meeting, and shall be given an opportunity to be heard at the meeting.
