Section 6. Vacancies

In the event of death or resignation of a director, or if the Members fail to elect a successor at the meeting at which a director is removed, or elect a successor who is ineligible to serve, the vacancy shall be filled by a vote of the majority of the remaining directors, even though less than a quorum, at any meeting of the Board. The person so elected shall serve the remainder of the vacated director’s term.
